QuickBooks Online integration
Clavion Connect for QuickBooks Online Terms of Service

These Terms of Service ("Terms") govern your use of Clavion Connect, the QuickBooks Online integration that Clavion Labs, a trade name of Clavion Arts LLC, a Colorado limited liability company ("Clavion Labs," "we," "us," or "our"), builds and operates for you ("you" or the "Client"). By authorizing Clavion Connect to connect to your QuickBooks Online company, you agree to these Terms.
1. The service
Clavion Connect is a private software integration that automates accounting workflows between your QuickBooks Online company and the operational tools you use, as defined in your engagement with us. It accesses your QuickBooks Online data only to perform the functions you have authorized.
2. Authorization and access
You authorize the integration through Intuit's OAuth 2.0 authorization flow. You represent that the person granting access is authorized to do so on behalf of your organization. We access only the data permitted by the accounting scope you approve, and we use it solely to operate the agreed automation. We do not sell your data or use it for any purpose outside the service.
3. Data handling
Our handling of your data is described in our Privacy Policy, which is incorporated into these Terms. We store authorization tokens securely, encrypt data in transit and at rest, and limit access to authorized personnel.
4. Your responsibilities
You are responsible for maintaining your own QuickBooks Online account and for the accuracy of the data within it. Clavion Connect creates and updates records based on the inputs and approvals provided by your team. You are responsible for reviewing the output of the automation before relying on it.
5. Disconnection
You may disconnect Clavion Connect at any time from the Apps page inside your QuickBooks Online account. On disconnection, the stored authorization tokens are revoked and Clavion Connect can no longer access your data.
6. Data processing and privacy
In operating Clavion Connect, Clavion Labs processes your QuickBooks Online data as a processor acting on your behalf and under your instructions, and only to provide the service. Our handling of personal data, including the legal bases for processing, international transfers, retention, and your privacy rights, is described in our Privacy Policy, which is incorporated into these Terms. Where a separate data processing agreement is signed between you and Clavion Labs, that agreement governs the processing of personal data.
7. Intellectual property
Clavion Connect, including its software, configuration, and supporting materials, is the property of Clavion Labs and is licensed to you for use as part of your engagement, not sold. Your QuickBooks data remains yours. QuickBooks and QuickBooks Online are trademarks of Intuit Inc.; Clavion Labs is not affiliated with or endorsed by Intuit.
8. Warranty and liability
Clavion Connect is provided under the terms of your engagement with Clavion Labs. To the extent permitted by law, and except as otherwise stated in a signed agreement between us, the service is provided without warranties of any kind, and Clavion Labs is not liable for indirect or consequential damages arising from its use. A signed engagement agreement between you and Clavion Labs, where one exists, governs in the event of any conflict with these Terms.
9. Governing law
These Terms are governed by the laws of the State of Colorado, United States, without regard to its conflict-of-laws rules, except where a signed engagement agreement between you and Clavion Labs specifies otherwise.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by an updated effective date on this page.
